Our Client With our current position as leader of E-Commerce in Thailand, their goal is to be the leader in E-Commerce and digital services in Southeast Asia. Our company aims to build up a new ecosystem.
Position: Company Secretary (Manager)
Location: AIA Tower, Ratchadaphisek, Bangkok
Job Type: Permanent
Salary Range: Maximum 100,000 THB
Benefit: Social Security Fund, Group insurance, Bonus, provident fund and etc.
Job Responsibility:
- Undertaking arrangements for meetings of the Board, related Board Committees and the Shareholders. Ensuring that the meetings conform to relevant laws and regulations, the Company’s articles of association, individual Board and Committees charters, and best practices
- Communicating the Board’s and Shareholders’ resolutions and policies to management and follow up their implementation
- Providing preliminary advice and recommendations pertaining to legal, regulatory, and governance issues and practices related to the Board and Board Committee
- Managing the secretarial office to serve as the center for corporate records such as the juristic person register, the memorandum and articles of association, the shareholder register, and business licenses.
- Ensuring that corporate information disclosure and related regulatory filings are in accordance with laws and regulations
- Acting as administrative officer with regard to Board and Committee matters e.g. making appointment with the Board and Board Committees for the meetings.
Qualifications:
- Bachelor’s degree or higher in Laws
- Minimum 5 years of experience in related field with strong understanding of corporate secretarial practices and have experienced in listed company is preferable
- Be a fast learner with strong working ethic and service mind
- Good command of English and computer literacy
- Mature and be able to work independently
